# 10.1.1 Terms of Service

### 1. Scope of Application

These Terms of Service govern users’ access to and use of Soei, including:

* Mobile applications;
* Websites;
* User accounts;
* User-generated content;
* Social networking, livestreaming, messaging, quiz, and task features;
* Soei Credits, digital gifts, and Reward Access;
* Creator Programs, brand programs, and related services.

Soei may establish separate terms for certain services, programs, or campaigns. By participating in any such service, program, or campaign, users agree to comply with the applicable additional terms.

### 2. Eligibility

Users may use Soei only if they:

* Have full legal capacity or have obtained consent from a lawful representative as required by law;
* Meet the minimum-age requirements under Vietnamese law and Soei’s policies;
* Provide accurate, complete, and up-to-date registration information;
* Have not previously been suspended, terminated, or prohibited from using Soei; and
* Use the platform for lawful purposes.

Users under the age of 16 may use Soei only with the appropriate consent and supervision of a parent or legal guardian where required by law. Soei may impose feature restrictions, conduct age verification, or require guardian confirmation for minors.

### 3. Accounts and Verification

Users are responsible for securing their accounts, passwords, login devices, and all activities conducted through their accounts.

Where necessary, Soei may require account verification through email, telephone number, identification documents, organizational verification, or other lawful methods to:

* Comply with applicable laws;
* Prevent fraud, fake accounts, bots, or abuse;
* Protect children and the community; and
* Determine eligibility for posting, commenting, livestreaming, monetization, campaign, or reward features.

Users must not rent, sell, transfer, share, or jointly use accounts where doing so creates security or fraud risks or violates Soei’s policies.

### 4. User Content

Users may upload, submit, publish, share, or interact with:

* Posts, images, videos, and short videos;
* Livestreams;
* Comments, messages, and reactions;
* Quizzes, tasks, and interactive content; and
* Content created in collaboration with creators or brands.

Users are responsible for all content they create, upload, broadcast, share, or transmit through Soei. Users represent that they possess all necessary rights, licenses, and permissions relating to that content.

Users must not upload or share content that:

* Violates Vietnamese law or other applicable laws;
* Infringes third-party intellectual property, privacy, honor, reputation, likeness, or personal-data rights;
* Is fraudulent, impersonating, falsely advertised, or misleading;
* Promotes violence or hatred or constitutes harassment, bullying, or threats;
* Is pornographic, exploits children, or is otherwise inappropriate for children;
* Instructs or encourages dangerous behavior, self-harm, criminal activity, or evasion of the law;
* Buys, sells, brokers, exchanges, or creates an external market for Credits, digital gifts, or internal benefits; or
* Involves spam, bots, engagement manipulation, or conduct harmful to the system.

### 5. License to Use Content

Users retain ownership of their content unless otherwise agreed.

By uploading content to Soei, users grant Soei a non-exclusive, worldwide, royalty-free license—transferable to necessary technical processors and operating partners—for as long as the content remains on the platform or as otherwise permitted by law, to:

* Store, display, transmit, distribute, and operate the content;
* Personalize user experiences and distribute content;
* Moderate content, maintain security, prevent fraud, and enforce policies;
* Promote content within the platform or through Soei’s communication channels, subject to the user’s settings and applicable law; and
* Back up and restore data, address incidents, and comply with legal obligations.

Soei will not use users’ private content for commercial purposes beyond what is necessary to operate the services without an appropriate legal basis or required consent.

### 6. Soei’s Intellectual Property

Soei’s name, logo, interfaces, designs, source code, algorithms, SPS system, Credit system, documentation, trademarks, databases, and other platform components are owned or lawfully licensed by Soei or its licensors.

Users must not copy, modify, distribute, reverse engineer, exploit, resell, or otherwise use Soei’s intellectual property without prior written authorization.

### 7. Soei Credits, Digital Gifts, and Reward Access

Credits are internal reward points—not money or financial assets. Users must not treat Credits as monetary value, investments, receivables, or payment instruments.

Soei may issue, adjust, place on hold, revoke, cancel, expire, or restrict Credits, digital gifts, rewards, or Reward Access when:

* A technical, display, or operational error occurs;
* Fraud, bots, fake accounts, abuse, or manipulation are detected;
* A user violates applicable policies;
* A program is modified, suspended, or terminated; or
* Required by law or a competent authority.

Participation in a campaign, task, quiz, or reward program does not guarantee that a user will receive Credits, digital gifts, benefits, or money. Specific eligibility requirements are published for each program.

### 8. Prohibited Conduct

Users must not:

* Violate applicable laws or third-party rights;
* Use bots, scripts, account farms, or unauthorized automation;
* Interfere with, scan, attack, reverse engineer, or overload the system;
* Manipulate SPS, Credits, rewards, views, likes, comments, shares, or campaign metrics;
* Defraud or impersonate Soei, creators, brands, government agencies, or other users;
* Buy, sell, broker, or exchange Credits, digital gifts, or internal benefits outside the platform;
* Distribute malware, malicious code, phishing content, or dangerous links;
* Collect user data unlawfully; or
* Use Soei to promote prohibited or restricted products or services without approval.

### 9. Enforcement Measures

Depending on the severity of a violation, Soei may take one or more of the following measures:

* Issue a warning;
* Reduce content distribution or apply a content label;
* Remove, hide, or restrict content;
* Restrict commenting, posting, livestreaming, messaging, campaigns, monetization, or rewards;
* Place on hold, revoke, or cancel Credits, digital gifts, rewards, or benefits;
* Temporarily suspend or permanently terminate an account;
* Withhold payments or benefits under a separate program where fraud is involved; or
* Notify, provide information to, or cooperate with competent authorities as required by law.

### 10. Complaints and Appeals

Users may submit a complaint or appeal against an enforcement decision through **\[support channel]** within **\[30] days** of receiving notice, unless applicable law or separate program terms specify otherwise.

Soei will receive, classify, and respond to requests within a reasonable period. The expected timeframes are:

* Acknowledgment of receipt: within **\[3] business days**;
* Standard review: within **\[7–15] business days**; and
* Complex matters involving fraud, data, children, legal issues, or third parties may require additional time, in which case Soei will provide status updates.

### 11. Third-Party Services

Soei may integrate or link to third-party services. Users acknowledge that third-party services are governed by their own terms and policies.

Soei is not responsible for third-party activities outside its control unless otherwise required by law.

### 12. Limitation of Liability

To the extent permitted by law, Soei provides its services on an “as is” and “as available” basis. Soei does not guarantee that the services will always be continuous, error-free, uninterrupted, or capable of meeting every user expectation.

To the extent permitted by law, Soei is not liable for indirect damages, lost profits, lost data, lost opportunities, or losses caused by other users or third parties, except where such losses result from Soei’s willful misconduct or mandatory legal obligations.

### 13. Changes to Services and Terms

Soei may update its services, features, policies, reward catalog, SPS criteria, campaign conditions, or terms of use.

For material changes affecting users’ rights or obligations, Soei will provide notice through the platform, by email, or through another appropriate method before or when the changes take effect. Advance notice may not be provided where immediate changes are necessary to protect security, prevent fraud, comply with the law, or protect the community.

Continued use of Soei after updated terms take effect constitutes acceptance of the revised terms.

### 14. Governing Law and Dispute Resolution

These Terms are governed by the laws of Vietnam.

Disputes should first be addressed through negotiation, customer support, and mediation. If a dispute cannot be resolved, it will be submitted to a competent authority in Vietnam in accordance with applicable law, unless a separate agreement provides another lawful dispute-resolution method.
